Terms of Service

1. Agreement to Terms

By accessing or using Restlytics (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including both free and paid subscribers. By creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Restlytics is a cloud-based hotel demand intelligence platform designed to assist revenue managers in making data-driven pricing and forecasting decisions. The Service provides the following features:

• Demand forecasting and occupancy predictions
• Competitive intelligence and rate shopping
• Event impact analysis using third-party event data
• Rate guidance and pricing recommendations
• AI-powered insights and briefings
• Historical performance reporting and analytics

Restlytics is designed as a co-pilot tool that assists revenue managers by providing data, insights, and recommendations. The platform does not make pricing decisions automatically. All pricing decisions remain the responsibility of the user.

We integrate with third-party services including PredictHQ (for event data) and Makcorps (for competitor rate data) to enhance the Service. These integrations are subject to the terms and availability of the respective third-party providers.

3. Account Registration

To use Restlytics, you must create an account and provide accurate, complete information. You agree to:

• Provide accurate and truthful information during registration
• Keep your account information up to date
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access to your account
• Be at least 18 years of age to create an account

You are responsible for all activity that occurs under your account. One account is intended for use by one person unless you are on a team plan that permits multiple users.

4. Subscription Plans and Billing

Restlytics offers the following subscription plans:

• Starter: $99 per month
• Professional: $249 per month
• Business: $499 per month
• Enterprise: Custom pricing

Billing is handled through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis.

Subscriptions automatically renew at the end of each billing period unless you cancel your subscription. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service through the end of your current billing period.

We reserve the right to change our pricing with at least 30 days' notice. Price changes will be communicated via email and will apply to your next billing cycle.

We do not provide refunds for partial billing periods unless required by applicable law. If you cancel mid-cycle, you will not receive a prorated refund, but your access will continue until the end of the paid period.

5. Acceptable Use

You agree to use Restlytics only for legitimate hotel revenue management purposes. You may not:

• Share your account credentials with others
• Attempt to reverse engineer, decompile, or extract source code from the platform
• Scrape, harvest, or systematically download data from the platform using automated tools
• Use the platform to input false or misleading data with the intent to harm competitors
• Upload malicious files, viruses, or any code designed to disrupt the Service
• Attempt to gain unauthorized access to our systems, servers, or networks
• Resell, redistribute, or sublicense access to Restlytics without a written reseller agreement
• Use the Service in violation of any applicable laws or regulations

Violation of these acceptable use provisions may result in immediate suspension or termination of your account.

6. Data and Content

You retain full ownership of all data you upload to Restlytics, including historical statistics, booking records, rate plans, and property configurations.

By uploading data to the Service, you grant us a limited, non-exclusive license to process, store, and use your data solely for the purpose of providing and improving the Service. This includes generating forecasts, recommendations, and AI-powered insights.

We may use anonymized, aggregated data derived from your property data for benchmarking, market analysis, and product improvement purposes. Individual property data is never shared with other users without your explicit consent.

You are responsible for ensuring that all data you upload is accurate, lawful, and does not violate the rights of any third party.

7. AI-Powered Features

Restlytics uses AI-powered features including morning briefings, rate reasoning explanations, and demand forecasts. These features are powered by third-party AI models, specifically Anthropic's Claude.

AI-generated outputs are recommendations and insights, not guarantees. You acknowledge that:

• AI-generated content may occasionally be inaccurate, incomplete, or outdated
• You should always apply professional judgment when using AI recommendations
• We are not liable for business decisions made based on AI-generated insights
• AI interaction data (prompts and responses) is logged for quality improvement and usage tracking

Final pricing and revenue management decisions are your responsibility as the user.

8. Third-Party Integrations

Restlytics integrates with several third-party services to enhance functionality:

• PredictHQ: Event data and impact analysis
• Makcorps: Competitor rate tracking
• Stripe: Payment processing and billing
• Resend: Transactional emails

These third-party services are subject to their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services.

Competitor rate data is provided "as is" from publicly available sources. While we strive for accuracy, we cannot guarantee the completeness or correctness of competitor pricing information.

9. Intellectual Property

Restlytics and all of its technology, including but not limited to our software, algorithms, user interface, and branding, are the intellectual property of Restlytics. You may not copy, modify, distribute, sell, or create derivative works based on our platform.

Our forecasting algorithms, AI prompts, proprietary methodologies, and business intelligence tools are trade secrets. Unauthorized use, reproduction, or disclosure of these trade secrets is strictly prohibited.

Feedback, suggestions, or ideas you provide about Restlytics may be used by us to improve the product without any obligation to compensate you.

10. Service Availability and SLA

We strive to maintain 99.9% uptime for the Service, but we do not guarantee uninterrupted availability for non-Enterprise plans. We may perform scheduled maintenance with reasonable advance notice.

We are not liable for downtime or service interruptions caused by:

• Third-party service provider outages
• Internet service provider issues
• Natural disasters or force majeure events
• Security incidents requiring emergency maintenance
• Distributed denial-of-service attacks or other malicious activity

Enterprise plans may include custom Service Level Agreements (SLAs) with specific uptime guarantees and response time commitments.

11. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We are not liable for:

• Lost revenue or missed business opportunities
• Business decisions made based on forecasts, recommendations, or insights from the platform
• Inaccuracies in competitor rate data or event information provided by third parties
• Service downtime or data loss

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

We do not guarantee forecast accuracy, rate recommendation outcomes, or the completeness of competitive intelligence data.

12. Data Security

We implement industry-standard security measures to protect your data, including:

• Encryption in transit (TLS/HTTPS)
• Encryption at rest for stored data
• Row-level security and tenant isolation in our database
• Regular security audits and monitoring

In the event of a data breach affecting your account, we will notify you within 72 hours of becoming aware of the breach.

13. Termination

You may cancel your account at any time through your account settings. Upon cancellation, your access will continue through the end of your current billing period.

We reserve the right to suspend or terminate accounts that violate these Terms, including but not limited to accounts engaged in fraudulent activity, abuse of the Service, or non-payment.

Upon termination, you may request an export of your data within 30 days. After 30 days, we may permanently delete your account data. Some data may be retained longer as required by law or for legitimate business purposes.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email at least 30 days before the changes take effect.

Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cancel your account before the effective date.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction of these courts.
